Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Flux Calendar provided by Hypha Labs Ltd (located at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ). By using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Using the Service

2.1 Account Registration

• Sign-Up: Users must create an account using third-party authentication services such as Firebase or Auth0.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update it promptly as necessary.

2.2 Subscription Service

• Subscription Model: Flux Calendar offers subscription services on a monthly or yearly basis, which auto-renew.
• Billing and Payment: Payments are processed through Stripe. By subscribing, you authorize us to charge your selected payment method. No refunds are offered, but you may cancel your subscription at least 30 days in advance to avoid renewal.
• Modifications: Subscription fees and terms may be modified, and any changes will be communicated via email.

3. User Responsibilities

• Authorized Use: You agree to use Flux Calendar only for lawful purposes and in accordance with these Terms.
• Prohibited Activities: Misusing the app, attempting unauthorized access, or interfering with the operation of our services is strictly prohibited.
• Accurate Data: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Payment, Billing, and Disputes

• Third-Party Billing: Apart from Stripe, no other payment gateways are used.
• Disputes and Chargebacks: In the event of a dispute or chargeback related to your subscription, you agree to work directly with the respective payment provider (Stripe). We reserve the right to suspend your account in case of fraudulent or disputed charges.

5. Third-Party Services and Disclaimers

• Integrations: Flux Calendar integrates with third-party services (including but not limited to Stripe, GCP, Oura, Garmin, Apple HealthKit, Google, and Microsoft) to enhance our service offerings.
• Performance Disclaimer: We do not guarantee the performance, security, or reliability of these third-party services. Users are encouraged to review the policies of these providers.
• Data Disclaimer: We shall not be held liable for any data collected or processed by these third parties, beyond the scope of what is imported into our app with your consent.

6. Limitation of Liability

• No Warranty: Flux Calendar is provided "as is" and "as available" without warranties of any kind, either express or implied.
• Liability Cap: In no event will Hypha Labs Ltd be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the service.
• Third-Party Content: We are not responsible for any data or issues arising from third-party services.

7. Governing Law and Dispute Resolution

• Governing Law: These Terms and any disputes related to them shall be governed by and construed in accordance with the laws of the United Kingdom.
• Dispute Resolution:
  • Informal Negotiations: We encourage users to contact us to resolve any disputes informally.
  • Arbitration: If informal negotiations fail, disputes will be resolved through binding arbitration under the rules agreed upon by both parties.

8. Modifications to Terms

Flux Calendar reserves the right to modify these Terms at any time. Changes will be communicated via email, and your continued use of the service signifies your acceptance of the new terms.

9. Termination

We may terminate or suspend your access to our services at any time, for any reason, without prior notice. You may also cancel your subscription as per the cancellation terms outlined in Section 2.2.

10. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Hypha Labts Ltd regarding your use of Flux Calendar.
• Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force.
